The rules of Euroauto2000 ry (registered association)

This is just a rough translation, meant for informational purposes only. Sections 1 and 2 are probably the only interesting ones. Rest of the text is from a standard rule example from Patentti- ja Rekisterihallitus, which handles association register in Finland.

1. The name and homeplace of association

The name of association is Euroauto2000 ry. and its homeplace is Helsinki.

2. Purpose and types of operation

The purpose of the association is to look for different creative talent and build a device, Euroauto2000, for purposes of making art and other creative actions. In the association a youth, why not an adult too, can safely try his limits in Europe and Finland.

To realize its purpose the association participates in marketplace and art happenings, keeps contact with artists', inventors' and other organizations and corporation and commits information, publication and training activity related on its purpose. Information and publication activity is done in traditional ways and electronically.

To support its operations the association can receive funds and wills and after getting a due permit, can arrange fundraisers and lotteries. The association can own fixed and non-fixed property for its operations.

3. Members

A person, who supports the purpose of the association, can be accepted as an ordinary member.

As a supporting member, a person or a legally justified body, which is willing to support the operations of association, can be accepted.

Ordinary and supporting members are accepted by the governing body of the association after receiving a request.

A person, who has greatly participated in and supported the actions of the association, can be invited as honorary president or a honorary member by the governing body at a meeting of the association.

4. Leaving and XXX the member

A member has the right to leave the association by a written announcement to the governing body, or by announcing it at an association meeting to be marked on the journal.

The governing body can XXX a member from the association, if the member has left his overdue membership payment unpaid or otherwise has left unfulfilled the requirements, to which he was bound by joining the association, or has caused considerable damage to association by his operations in association or outside it, or does not anymore fulfill the membership qualifications defined in the law or the rules of the association.

5. Joining and membership fees

The joining and membership fees for ordinary and supporting members is decided by the annual meeting separately for each group of members. Honorary president and honorary members are exempt of membership fees.

6. The governing body

The matters of association are handled by a governing body consisting of a president and two ordinary members, selected by the annual meeting.

The term of governing body is the time between annual meetings.

The governing body selects a vice president from within itself and selects a secretary, XXX (rahastonhoitaja) and other necessary XXX (toimihenkilöt) from within itself or outside.

The governing body meets from the invitation of president or if he's XXX (estynyt), the vice president, whenever they see it necessary or whenever at least half of governing body members demand it.

The governing body has the power to make decisions, when half of its members and the president or the vice president is present. Outcomes of votings are solved by unanimous majority. When votes are even, the president's vote solves the tie, except for elections, which are solved by lottery in such cases.

7. Writing the name of association

The name of the association is written by the president of governing body, the vice president or the XXX (rahastonhoitaja), two at once.

8. Accounting period and audition

Accounting period for the association is calendar year.

Balancing of the accounts, with necessary documents and the annual report of the board must be given to the auditors at least two weeks before the annual meeting. Auditors must give their written report at least a week before the annual meeting to the board.

9. The meetings of the association

The annual meeting of the association will take place annually on the date determines by the board between January and May.

Extra meeting will be held, when the meeting of the association so decides or when the board finds it necessary or when at least one tenth (1/10) of the voting members insists it in writing from the board for a special agenda. The meeting must be held within 30 days after the request has been made to the board.

In the meetings of the association a permanent member, honorary chair and an honorary member have one vote. Supporting members have the right to be present and speak at the meeting.

The opinion supported by the majority of given votes will form the decision of the meeting, if the rules of the association do not disagree. If the votes are even, the vote of the chair of the meeting will decide, except in elections by lot.

10. Summoning of the meetings of the association

The board must summon the meetings of the association at least seven days before the meeting with a letter posted to the members, or in the daily paper published in the home district of the association.

11. The annual meeting

In the annual meeting the following issues are considered:

If a member of the association wants to bring an issue to be considered in the annual meeting of the association, he/she must inform the board in writing so early that the issue can be included in the summoning of the meeting.

Changing the rules and dissolving of the association

The decision of changing the rules and the dissolving of the association must be made in the meeting of the association with a majority of at least three fourths (3/4) of given votes. In the summoning of the meeting there must be mentioned the changing of the rules or the dissolving of the association.

If the association is dissolved the assets of the association will be spent for the benefit of the purpose of the association with the way determined by the meeting deciding of the dissolving. If the association is suppressed the assets will be spent similarly.
